Welcome to SkyBridge BPO Solutions (“SkyBridge BPO”, “Company”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of our website and services.
By accessing our website or engaging our services, you agree to be bound by these Terms.
1. Scope of Services
SkyBridge BPO Solutions provides Business Process Outsourcing (BPO) and Virtual Assistant services, including but not limited to:
- Customer Support (Inbound & Outbound)
- Administrative and Back-Office Support
- Virtual Assistance (Legal, Insurance, Real Estate, etc.)
- Human Resources and Recruitment Support
- Business Development and Lead Generation
- Operations and Growth Support
Specific services, deliverables, timelines, and fees will be defined in a separate written agreement, proposal, or contract.
2. Eligibility
By using our services, you confirm that:
- You are at least 18 years old
- You have the authority to enter into a binding agreement on behalf of yourself or your organization
- The information you provide is accurate and complete
3. Client Responsibilities
Clients agree to:
- Provide accurate instructions and necessary access to systems or tools
- Ensure they have lawful rights to any data shared with us
- Comply with applicable laws and regulations
- Pay agreed fees on time
SkyBridge BPO is not responsible for errors resulting from incomplete, inaccurate, or delayed client instructions.
4. Fees and Payment
Fees shall be outlined in a signed agreement or approved proposal.
- Payments must be made according to the agreed schedule
- Late payments may result in service suspension
- All fees are exclusive of applicable taxes unless otherwise stated
Failure to pay may result in termination of services and possible legal recovery of unpaid balances.
5. Confidentiality
Both parties agree to maintain strict confidentiality of all non-public, proprietary, or sensitive information shared during the engagement.
SkyBridge BPO personnel are bound by Non-Disclosure Agreements (NDAs) and internal data protection policies.
Confidentiality obligations survive termination of services.
6. Data Protection and Privacy
We process personal data in accordance with:
- The Philippine Data Privacy Act of 2012
- The EU General Data Protection Regulation (GDPR), where applicable
- Our published Privacy Policy
When providing BPO services, the Client acts as the Data Controller, and SkyBridge BPO acts as the Data Processor, processing data strictly based on documented client instructions.
7. Intellectual Property
Unless otherwise agreed in writing:
- All client-provided materials remain the property of the Client
- Deliverables created specifically for the Client become the Client’s property upon full payment
- SkyBridge BPO retains ownership of its internal processes, templates, systems, and methodologies
8. Independent Contractor Relationship
SkyBridge BPO is an independent contractor. Nothing in these Terms creates:
- An employer-employee relationship
- A joint venture
- A partnership
- An agency relationship
SkyBridge personnel remain employees or contractors of SkyBridge BPO.
9. Non-Solicitation
During the engagement and for twelve (12) months after termination, the Client agrees not to directly hire, solicit, or engage SkyBridge personnel without written consent. A placement or conversion fee may apply if agreed upon.
10. Limitation of Liability
To the maximum extent permitted by law:
SkyBridge BPO shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, revenue, data, or business opportunities
Our total liability shall not exceed the total fees paid by the Client for the services in the three (3) months preceding the claim.
11. Service Availability
While we strive to provide uninterrupted services, we do not guarantee that services will always be available, error-free, or uninterrupted due to factors beyond our control (e.g., internet outages, third-party system failures).
12. Termination
Either party may terminate services:
- According to the terms of the signed agreement
- For material breach, if not cured within a reasonable period
- For non-payment
Upon termination:
- Outstanding fees become immediately due
- Access to systems may be revoked
- Confidential information must be returned or securely deleted
13. Force Majeure
SkyBridge BPO shall not be liable for delays or failure to perform due to events beyond reasonable control, including but not limited to:
- Natural disasters
- Government actions
- Internet or infrastructure failures
- Labor disruptions
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines.
Any disputes shall be resolved in the proper courts of the Philippines, unless otherwise agreed in writing.
15. Amendments
We may update these Terms at any time. Updated versions will be posted on our website with a revised effective date.
Continued use of our website or services constitutes acceptance of the updated Terms.
